Terms of Service

1. Acceptance of Terms

By accessing and using the website located at https://yourgallery.co (the “Site”) and subscribing to our services or Beta waitlist, you agree to comply with and be bound by these Terms of Service (“Terms”). These Terms constitute a binding legal agreement between you and YourGallery Limited (“Company,” “we,” “us,” or “our”), a company registered in the Hong Kong Special Administrative Region.

If you do not agree to these Terms, please do not use our Site or join our waitlist.

2. Description of Services

Currently, the Site serves as an informational landing page and pre-registration portal for the YourGallery platform (the “Platform”).

Our current services are limited to:

  • Providing information about our upcoming products and mission.
  • Collecting user interest via a newsletter and Beta testing waitlist.
  • Conducting market research through user-submitted data.

Note on Future Services: These Terms govern your use of the current Site. A separate, more comprehensive Terms of Service will be issued and required upon the Alpha testing of the Platform, specifically covering user-generated content, artwork uploads, and transactions.

3. Beta Waitlist and Availability

  • No Guarantee of Access: Joining the waitlist or subscribing to updates does not guarantee you access to the Beta version of the Platform. We reserve the right to select Beta testers at our sole discretion based on criteria such as profession, location, and device usage.
  • Modifications: We reserve the right to modify, suspend, or discontinue the Site (or any part thereof) at any time with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site.

4. User Obligations

By using the Site, you represent and agree that:

  • Accuracy: You will provide true, accurate, current, and complete information (including your Email, Profession, and Country) when submitting our forms.
  • Eligibility: You are at least 18 years of age, or have the consent of a parent or guardian to use this Site.
  • Prohibited Conduct: You will not use the Site for any unlawful purpose, including but not limited to:
  • Attempting to interfere with or compromise the system integrity or security of the Site.
  • Using any automated system (robots, spiders) to access the Site in a manner that sends more request messages to our servers than a human can reasonably produce.
  • Submitting false or misleading information to disguise your origin or identity.

5. Intellectual Property Rights

  • Our Content: All content present on this Site, including but not limited to text, graphics, logos, images, code, and software, is the property of YourGallery or its licensors and is protected by Hong Kong and international copyright, trademark, and other intellectual property laws.
  • Limited License: We grant you a limited, non-exclusive, non-transferable license to view and use the Site strictly for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works of any content on this Site without our express written permission.
  • Feedback: If you choose to provide input and suggestions regarding problems with or proposed modifications or improvements to the Platform (“Feedback”), you hereby grant YourGallery an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback in any manner and for any purpose.

6. Privacy

Your privacy is important to us. Our collection and use of personal information in connection with the Site are described in our Privacy Policy. By using the Site, you consent to the collection and use of your data as outlined therein.

7. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, YOURGALLERY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YOURGALLERY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SITE.

9. Indemnification

You agree to defend, indemnify, and hold harmless YourGallery and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by the courts of Hong Kong.
